1. Acceptance of Terms

These Terms of Use (the "Terms") govern your access to and use of the website located at localfalcon.com, the Local Falcon platform, application programming interface (API), Model Context Protocol (MCP) server and connectors, mobile applications, and all related services (collectively, the "Service"), operated by Local Falcon LLC ("Local Falcon," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Definitions

"User," "you," or "your" refers to any individual or entity that accesses, browses, or uses the Service.
"Content" means text, images, data, reports, analyses, visualizations, and all other forms of information available through the Service.
"Local Falcon Content" means Content created by or on behalf of Local Falcon, including proprietary metrics, AI-generated analyses, report formats, scan visualizations, and platform features.
"User Data" means data you provide, upload, or generate through your use of the Service, including business locations, keywords, scan configurations, and connected account data.
"Third-Party Content" means Content originating from parties other than Local Falcon or its Users, including data from Google, Apple, AI search platforms, and other external sources.
"AI Features" means any artificial intelligence or machine learning capabilities within the Service, including but not limited to Falcon AI, AI-generated scan analyses, AI search visibility tracking, and AI-powered recommendations.
"Credits" means the unit-based system used to access certain features of the Service, as described in Section 6.

3. Eligibility

To use the Service, you must be at least 18 years of age and have the legal capacity to enter into these Terms. You may not use the Service if we have previously terminated your account or banned you from the Service. You may not access or use the Service if you are a direct competitor of Local Falcon, except with our prior written consent.

4. User Accounts

Certain features of the Service require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Each account is for individual use only and may not be shared with others, except as expressly permitted through our platform features (such as agency or multi-user access).

You agree to provide accurate, current, and complete information during registration and to update such information as necessary. We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms.

5. Description of the Service

Local Falcon provides a platform for tracking, analyzing, and managing local search visibility across multiple platforms. The Service includes, but is not limited to:

Local rank tracking across Google Maps, Apple Maps, and other mapping platforms
AI search visibility tracking across AI platforms including Google AI Overviews, Google AI Mode, ChatGPT, Gemini, and Grok
Competitor analysis and benchmarking
Google Business Profile monitoring and management (Falcon Guard)
AI-powered analyses and recommendations (Falcon AI)
Reviews analysis and sentiment tracking
Campaign management for recurring scans
Trend tracking and historical performance reporting
Report generation including proprietary metrics such as Share of Local Voice (SoLV®), Average Rank Position (ARP), and Average Top Rank Position (ATRP)
API access for programmatic integration
MCP server and AI agent connectors for third-party platform integrations

We may add, modify, or discontinue any features or components of the Service at any time without prior notice.

6. Credits, Subscriptions, and Billing

6.1 Credit System

The Service operates on a credit-based system. Credits are consumed when you perform certain actions within the Service, such as running scans. The number of credits required varies based on the action performed, scan grid size, and other parameters. Credit costs are displayed prior to execution of any credit-consuming action.

6.2 Subscriptions and Payments

Paid features of the Service require an active subscription. Subscription plans, pricing, and included credits are described on our pricing page. Payment must be made via credit card, debit card, or ACH (US bank account) through our secure payment processor.

Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date. You are solely responsible for canceling your subscription prior to the renewal date if you do not wish to continue. No further notice of renewal dates will be provided after your initial subscription.

6.3 Refunds

All payments are non-refundable unless otherwise required by applicable law. Unused credits do not carry forward between billing cycles unless your plan specifically provides for credit rollover. We do not issue refunds for unused credits, partial billing periods, or subscription downgrades.

7. API, MCP Server, and Third-Party Integrations

7.1 API Access

Local Falcon provides an API that allows authorized users to access the Service programmatically. API usage is subject to these Terms, any applicable API documentation, and rate limits we may impose. You are responsible for securing your API keys and for all activity conducted through your API credentials.

You may not use the API to build a product or service that competes with Local Falcon, to circumvent usage limits or credit requirements, or to access data you are not authorized to access.

7.2 MCP Server and AI Agent Connectors

Local Falcon offers an MCP (Model Context Protocol) server and AI agent connectors that allow third-party AI platforms and applications to interact with the Service on your behalf. When you authorize an AI agent or connector to access your Local Falcon account:

The agent may perform any action you are authorized to perform, including running scans, retrieving reports, managing campaigns, and accessing your data.
Actions performed by AI agents consume credits from your account and are subject to the same usage limits as direct platform access.
You are responsible for all actions taken through authorized AI agents, including credit consumption.
You may revoke AI agent access at any time through your account settings or by contacting us.

Third-party AI platforms that connect to Local Falcon via MCP or other integration methods are governed by their own terms of service and privacy policies. Local Falcon is not responsible for the behavior, data handling, or output of third-party AI platforms.

7.3 OAuth and Connected Accounts

Certain features of the Service allow you to connect third-party accounts (such as Google Business Profile) via OAuth or similar authentication protocols. By connecting a third-party account, you authorize Local Falcon to access and process data from that account within the scope of permissions you grant. You may revoke this access at any time through the third-party's account settings or through your Local Falcon account.

8. Intellectual Property and Content Ownership

8.1 Local Falcon Intellectual Property

All intellectual property rights in the Service, including but not limited to the platform, software, design, reports, visualizations, AI models, and proprietary metrics, are owned by Local Falcon LLC. SoLV® (Share of Local Voice) is a registered trademark of Local Falcon LLC. You may not use, reproduce, modify, or create derivative works based on Local Falcon Content except as expressly authorized by these Terms or with our written permission.

8.2 Your Data

You retain ownership of the data you provide to Local Falcon. By using the Service, you grant Local Falcon a non-exclusive, worldwide, royalty-free license to use, process, store, and display your data as necessary to provide and improve the Service. We may also use aggregated, de-identified data for analytics, benchmarking, and product development purposes.

8.3 AI-Generated Content

Certain features of the Service use artificial intelligence to generate analyses, recommendations, and other content. AI-generated content is provided for informational purposes only and should not be considered professional advice. Local Falcon does not guarantee the accuracy, completeness, or reliability of AI-generated content. You are responsible for independently verifying any AI-generated output before relying on it for business decisions.

8.4 Feedback

If you provide us with suggestions, ideas, or feedback, you grant Local Falcon an irrevocable, non-exclusive, royalty-free, perpetual, worldwide license to use, modify, and incorporate such feedback into the Service without obligation or compensation to you.

9. Prohibited Conduct

You agree not to, and will not assist or enable others to:

Use the Service for any unlawful purpose or in violation of any applicable law or regulation
Access or use the Service if you are a direct competitor, for the purpose of competitive intelligence, without prior written consent
Attempt to gain unauthorized access to the Service, other user accounts, or computer systems connected to the Service
Use automated means (bots, scrapers, crawlers) to access the Service or extract data, except through our authorized API
Reverse engineer, decompile, or disassemble any aspect of the Service
Interfere with or disrupt the integrity or performance of the Service
Circumvent usage limits, credit requirements, or security features
Resell, sublicense, or redistribute access to the Service without authorization
Use the Service to transmit malware, viruses, or other harmful code
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Use ranking data or reports in a manner that violates the terms of service of the underlying search platforms

10. Data Accuracy and Disclaimers

Local Falcon provides ranking, visibility, and competitive intelligence data based on queries to third-party search platforms. This data reflects conditions at the time of the scan and may vary due to factors outside our control, including but not limited to:

Search personalization and localization by the underlying platform
Temporary fluctuations in search results
Changes to third-party platform algorithms or APIs
Network conditions and geographic variations

While we strive for accuracy, we do not guarantee that scan results, rankings, or analyses will be completely accurate, current, or error-free. Data should be used as a directional indicator and not as the sole basis for business decisions.

11. Third-Party Services and Links

The Service may integrate with or contain links to third-party websites, platforms, and services. We do not control and are not responsible for third-party services. Your use of third-party services is governed by their respective terms and policies.

The Service uses Google services. Your use of Google Maps features within the Service is subject to the Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy. Similarly, data from other platforms (Apple Maps, OpenAI, Anthropic, xAI, etc.) is subject to those platforms' respective terms.

12. Disclaimers

PLEASE READ THIS SECTION CAREFULLY. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. LOCAL FALCON DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

LOCAL FALCON MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF RANKING DATA, AI-GENERATED ANALYSES, OR ANY OTHER OUTPUT OF THE SERVICE. THE SERVICE RELIES ON THIRD-PARTY PLATFORMS AND DATA SOURCES THAT ARE OUTSIDE OUR CONTROL.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOCAL FALCON, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

LOCAL FALCON'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO LOCAL FALCON IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless Local Falcon LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any third-party rights, or any actions taken by AI agents or third-party integrations authorized through your account.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Erie County, Pennsylvania, for the resolution of any disputes arising under these Terms.

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

16. Termination

You may terminate your account at any time by closing your account through the Service or by contacting us. We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice.

Upon termination, your right to use the Service will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.

After account closure, you will not be billed further unless you have outstanding obligations. We do not issue refunds for any remaining subscription period or unused credits.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the revised Terms on our website and, where appropriate, by email. Your continued use of the Service after the effective date of any modifications constitutes acceptance of the updated Terms.

18. General Provisions

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Local Falcon regarding your use of the Service. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms may not be assigned or transferred by you without our prior written consent, but may be assigned by us without restriction.
